The singer, who is currently on tour, stopped his show at Louisville, Kentucky, to allow the man, named Josh, pop the question to his partner Kim.
He later took to social networking site Twitter to reveal the happy news.
He wrote: "And then this happened in Louisville..." alongside a video showing the proposal.
Timberlake, 32, had just performed That Girl, when he picked out the couple from the audience and called them onto the stage.
He said: "Josh and Kim, why don't you make your way up here?"
He then told a surprised Kim: "Josh called me earlier. He's got something he wants to tell you."
The singer, who is married to Jessica Biel, then headed off-stage so Josh could get down on one knee and propose. Kim said yes and Timberlake could be seen congratulating the couple.
